Constitution and Bylaws

THE CONSTITUTION OF THE BOLLES SCHOOL PARENT ASSOCIATION

ARTICLE I
NAME
The name of this organization shall be The Bolles School Parent Association (the "Association").

ARTICLE II
PURPOSE
The Association shall serve as the official organization of parents individually and cooperatively working with the Trustees, Administration and Faculty of The Bolles School (the "School") in promoting the general welfare of the students of the School and in making a distinct contribution to the life and spirit of the School community.

ARTICLE III
MEMBERS
The members of the Association shall consist of each dues paying parent or legal guardian of a student of the School. Any other person may be admitted to membership by a majority vote of the Executive Committee.

ARTICLE IV
FISCAL YEAR
The fiscal year of the Association shall be the same as the School’s fiscal year as established by the Board of Trustees.

ARTICLE V
PARENT ASSOCIATION COUNCIL
The business of the Association shall be managed by a Parent Association Council composed of the Executive Committee of the Association, the Campus Officers, the Project Chairs, and the Class Parents. The manner of selection, the terms of office and the duties of the members of the Council shall be as set forth in the bylaws.

ARTICLE VI
AMENDMENTS
This Constitution shall be amended by a vote of a majority of the members of the Association present at any regularly constituted meeting of the Association, provided such amendments shall have been approved by the Parent Association Executive Committee and mailed to each member of the Association at least ten days prior to such meeting.


BY-LAWS OF THE BOLLES SCHOOL PARENT ASSOCIATION

ARTICLE I

MEETINGS

Section 1. Place of Meetings. Meetings of the Parent Association shall be held at The Bolles School (the "School") or at such other place within or without the State of Florida as shall be stated in the notice of meeting.

Section 2. Association Meetings. Meetings of members shall be held as called by the Association Co-Chairs. The annual meeting shall be held in the spring for the installation of the Association Council and the transaction of such other business as may properly come before the meeting.

Section 3. Special Meetings. Special meetings of members may be called at any time by the Executive Committee or by the Co-Chairs of the Association.

Section 4. Campus Meetings. Each of the School's campuses may hold such meetings as deemed necessary by call of the Campus Co-Chairs with notice as required in Section 5 of these By-laws.

Section 5. Notice of Meetings. Except as otherwise provided by the Constitution or these By-laws, notice of the place, date and hour of each meeting shall be provided to members not less than ten days before the date of the meeting.

Section 6. Quorum and Adjournments. A quorum at any Association or Campus meeting shall consist of those voting members present. The members present may adjourn the meeting from time to time. When a meeting is adjourned to another time or place, it shall not be necessary to give further notice of the continuance of the adjourned meeting if the time and place are announced at the meeting at which the adjournment is taken. At the continuance of the previously adjourned meeting, the members may transact any business that might have been originally transacted.

Section 7. Voting. Each member of the Association shall have one vote. Any action to be taken by vote of the members shall be authorized by a majority of the votes cast at a meeting.

Section 8. Conduct of Meetings. Association meetings shall be presided over by one of the Association Co-Chairs, or, in his or her absence, by one of the Association Co-Vice Chairs. The Recording Secretary, or, in his or her absence, a person chosen at the meeting, shall act as secretary of the meeting and shall provide a copy of the meeting minutes to the Association Co-Chairs and the School within ten days following the meeting.

ARTICLE II

PARENT ASSOCIATION COUNCIL

Section 1. Qualification and Selection. The Parent Association Council shall be composed of the Executive Committee, the campus officers, the project chairs, and the class parents. The Association Co-chairs shall appoint the Campus Co-chairs. The Campus Co-chairs shall appoint the campus officers, project chairs and class parents for their respective campuses.
Section 2. Committees. Council project chairs may fix the time and place of their committee meetings and determine their committee’s actions based on the direction and approval of the Executive Committee. Committees shall report their actions for approval to the Executive Committee and shall record such actions within five days.

ARTICLE III

PARENT ASSOCIATION EXECUTIVE COMMITTEE

Section 1. Selection, Powers and Duties. The Executive Committee shall be composed of the Officers, the Campus Co-chairs, and such other members as may be appointed by the Association Co-Chairs and the nominating committee. Except as otherwise provided in the Constitution, the business of the Association shall be directed by the Executive Committee. Executive Committee members, unless otherwise provided by the Constitution, each shall have such powers and duties as generally pertain to their respective offices as well as such powers and duties as may from time to time be specifically conferred or imposed by the Executive Committee.

Section 2. Term of Office and Vacancies. The Association Co-Chairs shall appoint such committee members as they may determine appropriate. Each Executive Committee member shall hold office until the next annual meeting of the Association or until his or her successor has been appointed.

Section 3. Action by the Executive Committee. Except as otherwise provided by the Constitution or these by-laws, one-third of the Executive Committee shall constitute a quorum for the transaction of business. A majority vote is required to conduct the business of the Executive Committee.

Section 4. Meetings. Meetings of the Executive Committee shall be held upon the call of any officer and shall be held at any place specified in the notice of meeting. Notice of the place, date and hour of meeting shall be given to members not less than three days before the date of such meeting.

ARTICLE IV

AMENDMENTS

These By-laws shall be amended by a vote of a majority of the members of the Association present at any regularly constituted meeting of the Association, provided such amendments shall have been approved by the Parent Association Executive Committee and mailed to each member of the Association at least ten days prior to such meeting.

ARTICLE V

RULES OF ORDER

The most recent edition of Robert's Rules of Order shall be used as the rules of order for all meetings of the Association.
